By accessing or using The Thing ("the Service"), operated by Vm78 Inc. ("we", "our", or "the Company"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
If you do not agree to these terms, do not use the Service.
The Thing is a cloud-based organizational design platform that enables users to visualize, plan, and manage organizational structures. The Service includes features such as org chart creation, employee management, version comparison, analytics, and integrations via API.
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately at support@thingcorp.co if you suspect unauthorized access to your account.
The Service offers a 14-day free trial. After the trial period, continued access requires a paid subscription. Subscription fees are billed on a per-seat, per-month basis, charged in advance.
You agree to use the Service only for lawful purposes. You shall not:
You retain all ownership rights to the data you upload to the Service ("Your Data"). By using the Service, you grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing the Service to you.
You are responsible for ensuring that Your Data does not violate any laws or third-party rights. You are responsible for maintaining backups of Your Data. While we perform daily backups, we do not guarantee data recovery in all circumstances.
The Service, including its source code, design, logos, and documentation, is the proprietary property of Vm78 Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.
You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
Access to the The Thing API is subject to rate limits and usage policies. API keys are confidential and must not be shared publicly. We reserve the right to revoke API access if these terms are violated.
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend access for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.
Either party may terminate the agreement at any time. You may cancel your account through the settings page or by contacting support.
We may suspend or terminate your account immediately if you violate these terms, fail to pay fees, or if continued service poses a risk to the security or integrity of the platform.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VM78 INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You agree to indemnify and hold harmless Vm78 Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service or your violation of these terms.
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of the State of Delaware.
We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated terms.
